    1. Acceptance of Terms

    These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Lawmox Software Group ("Lawmox," "we," "us," or "our"). By accessing or using our website, software, products, or services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms.

    If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity. If you do not agree to these Terms, you must not access or use our Services.

    2. Description of Services

    Lawmox Software Group provides custom software development, mobile application development, cloud solutions, cybersecurity services, data and analytics, AI and machine learning solutions, and related technology consulting services. We also facilitate access to field services through our partner company, IAH Cloud Services.

    We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

    3. Eligibility

    You must be at least 18 years of age or the age of legal majority in your jurisdiction to use our Services. By using our Services, you represent and warrant that you meet all eligibility requirements. If you do not meet these requirements, you must not access or use the Services.

    4. User Accounts and Registration

    Certain features of our Services may require you to create an account. When creating an account, you agree to:

    • Provide accurate, current, and complete information
    • Maintain and promptly update your account information
    • Maintain the security and confidentiality of your login credentials
    • Accept responsibility for all activities that occur under your account
    • Notify us immediately of any unauthorized use of your account

    We reserve the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

    5. Intellectual Property Rights

    5.1 Our Intellectual Property

    All content, features, and functionality of the Services — including but not limited to text, graphics, logos, icons, images, audio clips, software, and the compilation thereof — are the exclusive property of Lawmox Software Group or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

    5.2 Limited License

    We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes in accordance with these Terms. This license does not include the right to:

    • Modify, copy, or create derivative works based on the Services
    • Reverse engineer, decompile, or disassemble any software provided as part of the Services
    • Remove any copyright, trademark, or other proprietary notices
    • Transfer, sublicense, or assign your rights under these Terms
    • Use the Services for any unlawful purpose or in violation of any applicable laws

    5.3 Client Work Product

    For custom software development projects, the ownership and licensing of work product will be governed by the specific contract or statement of work agreed upon between Lawmox and the client. In the absence of such an agreement, Lawmox retains all intellectual property rights in the work product until full payment is received.

    6. User Conduct

    You agree not to use the Services to:

    • Violate any applicable federal, state, local, or international law or regulation
    • Infringe upon the rights of others, including intellectual property, privacy, or publicity rights
    • Transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
    • Impersonate any person or entity or misrepresent your affiliation with a person or entity
    • Introduce viruses, trojans, worms, or other malicious code
    • Attempt to gain unauthorized access to any portion of the Services or any related systems or networks
    • Interfere with or disrupt the integrity or performance of the Services
    • Collect or harvest any personally identifiable information from the Services without authorization
    • Use automated means (bots, scrapers, etc.) to access the Services without our express written permission

    7. Service Requests and Partner Services

    When you submit a service request through our website for IAH Cloud Services (our partner company), you acknowledge that:

    • Your request and associated personal information will be shared with IAH Cloud Services to fulfill your service request
    • The provision of field services by IAH Cloud Services is subject to their own terms and conditions
    • Lawmox acts as a facilitator and is not directly responsible for services rendered by IAH Cloud Services
    • Any disputes arising from partner services should be directed to the respective partner company

    8. Payment Terms

    For paid Services, the following terms apply:

    • All fees are quoted in U.S. dollars unless otherwise specified in a separate agreement
    • Payment terms, schedules, and methods will be outlined in your specific service contract or statement of work
    • Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower
    • You are responsible for all taxes associated with your use of the Services, excluding taxes based on Lawmox's net income
    • We reserve the right to suspend Services for accounts with overdue balances

    9. Confidentiality

    Each party agrees to hold in confidence all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential ("Confidential Information"). Neither party shall use the other party's Confidential Information for any purpose outside the scope of these Terms or the performance of the Services without prior written consent.

    This obligation of confidentiality does not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party prior to disclosure; (c) is independently developed by the receiving party; or (d) is required to be disclosed by law or court order.

    10. Warranties and Disclaimers

    THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, Lawmox disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

    We do not warrant that: (a) the Services will be uninterrupted, timely, secure, or error-free; (b) the results obtained from use of the Services will be accurate or reliable; (c) any defects in the Services will be corrected; or (d) the Services will be free of viruses or other harmful components.

    11. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LAWMOX SOFTWARE GROUP, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with: (a) your use or inability to use the Services; (b) any unauthorized access to or use of our servers or any personal information stored therein; (c) any interruption or cessation of the Services; (d) any bugs, viruses, or the like transmitted through the Services; or (e) any errors or omissions in any content.

    In no event shall Lawmox's total aggregate liability exceed the greater of: (a) the amounts paid by you to Lawmox during the twelve (12) months preceding the claim; or (b) one hundred U.S. dollars ($100.00).

    12. Indemnification

    You agree to indemnify, defend, and hold harmless Lawmox Software Group and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) any content you submit through the Services.

    13. Termination

    We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

    All provisions of these Terms that by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

    14. Governing Law and Dispute Resolution

    These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Lawmox Software Group is headquartered, without regard to its conflict of law provisions.

    Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration or in the courts of competent jurisdiction.

    15. Force Majeure

    Lawmox shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

    16. Severability

    If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

    17. Entire Agreement

    These Terms, together with our Privacy Policy and any specific service contracts or statements of work, constitute the entire agreement between you and Lawmox Software Group regarding the use of the Services, superseding any prior agreements between you and Lawmox relating to the subject matter herein.

    18. Changes to Terms

    We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a revised "Last updated" date. Your continued use of the Services after any changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.
